We are seeking a highly motivated and detail-oriented Senior Associate (Transactional Lawyer) to join our legal team. The Senior Associate will play a key role in advising clients on complex transactional matters, including mergers and acquisitions, joint ventures, corporate restructuring, banking and finance transactions, and other commercial deals. The ideal candidate will have strong legal drafting and negotiation skills, sound business acumen, and the ability to manage client relationships and mentor junior team members.
- Advise clients on a wide range of corporate and commercial transactions, including M&A, joint ventures, private equity, venture capital, and financing deals.
- Draft, review, and negotiate transaction documents such as share purchase agreements, joint venture agreements, loan agreements, security documents, and shareholder agreements.
- Conduct legal due diligence and provide risk assessments to support transaction structuring.
- Liaise with regulators, financial institutions, and external counsel to ensure compliance with applicable laws and regulations.
- Provide strategic legal advice to clients in relation to cross-border and domestic transactions.
- Supervise, guide, and train junior associates and legal assistants within the team.
- Contribute to business development by preparing client pitches, proposals, and thought leadership materials.
- Support partners in managing client relationships and delivering high-quality legal services.
- English - Fluent
- Chinese - Simplified is preferred
- Bachelor's Degree in Laws (LL.B.) or higher degree from a recognized university; admission to the Bar is preferred.
- Experience in corporate and transactional law, preferably with a top-tier law firm or international practice for 5 years as a minimum
- Proven experience handling complex corporate transactions, including drafting, negotiation, and closing deals.
- Strong knowledge of company law, banking and finance law, securities law, and regulatory frameworks.
- Excellent written and verbal communication skills in English (fluency in another language, such as Chinese, is an advantage).
- Strong analytical and problem-solving skills with commercial awareness.
- Ability to work independently and as part of a team in a fast-paced environment.
- Strong leadership skills with the ability to mentor and develop junior team members.
- High level of professionalism, integrity, and client service orientation.
