Helen Keller Cambodia seeks to engage a qualified legal firm on a retainer basis to provide ongoing legal services supporting its operations in Cambodia.

Scope of Work, Key Objectives and Activities

The firm selected will be responsible for providing the following legal services:

General Legal Advisory and Representation

  • Provide routine legal counsel on all aspects of Helen Keller’s operations in Cambodia.
  • Advice on pending legal matters, including the transition of files from previous counsel.
  • Draft, review, and revise legal documents including contracts, MoUs, tenders, loan/security agreements, and legal correspondence.
  • Represent Helen Keller in legal proceedings (civil, criminal, labor, or administrative) and manage legal disputes with individuals or entities.
  • Assist with legal filings, case documentation, and statutory obligations in accordance with Cambodian law.
  • Draft and respond to legal notices and handle matters related to intellectual property and regulatory documentation.
  • Support the organization in audits, inspections, and inquiries by Cambodian government bodies.
  • Act as liaison in legal matters involving law enforcement or immigration authorities, as needed.
  • Provide company secretarial services, including statutory filings and support for Board and General Meetings.
  • Participate in negotiations and meetings with third parties on matters authorized by Helen Keller.
  • Undertake periodic review (at least biannually) of major contracts and contract templates.
  • Initiate debt recovery proceedings where necessary.

Compliance and Regulatory Support

  • Provide legal advice on compliance with Cambodian laws and regulations applicable to INGOs.
  • Offer guidance on matters related to taxation, registration, labor law, and immigration.
  • Conduct tax compliance reviews and provide advisory support on an interpretation of Cambodian tax laws relevant to NGO operations, including responses to tax audits or authority queries.
  • Review and validate internal policies, procedures, and documentation for legal and regulatory compliance.
  • Advise on external legal communications such as subpoenas, court orders, and information requests.

Bidder Eligibility

  • Applicant firms must:
  • Be duly registered and licensed to practice law in Cambodia.
  • Have a team of qualified and experienced legal professionals.
  • Demonstrate experience in providing legal services to international NGOs or similar organizations.

Interested firms should submit:

  • A cover letter expressing interest and outlining relevant experience.
  • Profiles and qualifications of key personnel.
  • Valid registration and operating licenses.
  • At least two reference letters from international organizations previously served.
  • A proposal including the annual retainer fee.
