VBNK by-laws have set the VBNK Board of Director as the governing body who make efforts
towards keeping VBNK an innovative and credible organisation contributing
creative learning for the social development sector. The Board will work to
support staff in achieving the aims and objectives of the organisation and its
programmes. Board members may also act as liaisons with the organisation's
stakeholders.
The Board empowers the Director to carry out the objectives of the
organisation. Both parties work together to ensure that all activities reflect
the values of professionalism, transparency and accountability. The Director
hires all other staff as required to fulfil the organisational mandate. The
staff and the Board jointly define the strategies of the organisation;
Implementation is supervised by the Director, within approved programmes.
- Responsibility
- Recruit, appoint, suspend, or remove the Director of the Organisation.
- Conduct an annual performance appraisal of the Director.
- Review, approve and monitor annual budgets, and ensure that transparent and accountable financial management systems are in place.
- Approve and adopt all of the policies and procedures of the organisation, and ensure systems are in place for implementation and compliance.
- Assist the staff to generate funds in the form of grants, donations or fees. Approve proposals prior to their submission to donors.
- Ensure the proper utilisation, management, accounting and auditing of the income, assets and expenditures of the organisation.
- Create Board committees or working groups at its discretion.
- Duty of the Board Officers
- The Chairperson shall be the principal officer of the Board and preside over all Board meetings. Between meetings, the Chairperson shall represent the Board and carry out any necessary consultations with Board members, the Director or committees. The Chairperson shall be an ex-officio member of any committee formed and shall receive, consider, and prepare recommendations for the full Board to make decisions.
- The Board shall meet not less than four times per year. Additional meetings may be called by the Chairperson or at the request of 2/3 of the Board members or the Director. Notice of all Board meetings should be sent by email or to a member's last record of address at least seven days prior to the scheduled meetings.
