Legal Manager

Position Summary

Job Summary

Legal Manager is primarily responsible for the well-functioning of the Group Legal department by leading and managing the preparation, negotiation and reviewing of legal documents, letters and contracts required by the Group. He or She monitor compliance with laws and regulations related to all business activities in order to mitigate risks, as well as liaise with the competent authorities, lawyers, registration service providers to apply for the relevant business and operating license.

Expectations - Duties, Responsibilities
  • The establishment of civil/commercial contract, particularly immovable property contract, and construction/development agreement.
  • Oversee, form and draft or review legal documentations, such as immovable property contract, construction agreements and other legal opinions to be aligned with the company practices and legal perspective.
  • Provide sound legal advice solution with a firm grasp on civil, commercial, land laws as well as the construction/development legal instruments upon request matters from Senior Management.
  • Take lead in negotiating terms and conditions in the contracts with 3rd parties and modify to suit and mutually agreed by all parties.
  • Analyze and identify legal risks and implications of the whole business operations with respect to evolvement and development of land law and construction statutes that can highly impact the profitability of the business.
  • Sign off the contracts or other documents before submitting and arranging for the execution by the company's director and relevant authorized signatories in the company legal entity.
  • Responsible to resolve the contract disputes arising from the contract where a contracted party defaults or could not fulfill the terms and conditions of the said contract.
  • Responsible to interpret the contract’s terms, conditions and obligations accurately, precisely and explicitly to protect the interest of the company’s intent to 3rd parties as regards to potential disputes arising during the execution of the contract.
  • The participation of litigation procedure in all courts’ tier in relation to both civil and criminal procedure.
  • Participate in the litigation procedure in the courts’ tiers and grasp well about the criminal and civil procedure and keep updating the status of court cases in each procedure with the Senior Management.
  • Responsible to identify and determine the dispute points arising in the contracts and provide the strategic approaches to Senior Management regards its legal outcome.
  • Responsible to attend to all types of complaint, criminal or civil matters and prepare and collect strong evidence and proofs as the litigation progresses.
  • Collaborate with 3rd party lawyers and relevant persons for the handover of evidence and supporting documents.
  • Responsible to keep/organize proper and systematic records and filing system for each court case number in a chronological order.
  • Direct the research about the legal issues and provide legal consultations to the Senior Management.
  • Study and research about laws, regulations, best practices, and legal issues related to the Group & Company’s businesses.
  • Attend & participate in conferences/seminars related to legal updates in the real estate & construction industry and share with team members.
  • Provide general legal counsels and consultations for the Senior Management.
  • Notify the newly promulgated statutory and government acts/regulations/statues to the concerning departments and Senior Management.
  • Responsible to compile the relevant laws and regulations related to company’s business activities for the ease of retrieval and research.
  • Ensure the legal compliance of company’s business objectives and activities
  • Responsible to request and obtain permits and other licenses directly or cooperate with 3rd party lawyers or other service providers.
  • Responsible to prepare application forms and supporting documents for license and other relevant permit registrations.
  • Follow up and contact with related parties or government agencies regarding the registration process from commencement until completion.
  • Responsible to check, follow up and renew the validity and ensure the update of those permits and licenses.
  • Conduct legal due diligence, raise up any legal risks to the Senior Management and prepared and produce legal due diligence report as per Group SOPs.
  • Ensure the good keeping of all minutes of the meeting and resolutions of shareholders/board of directors, legal related documents in both hard and soft copies.
  • Responsible for the proper record the minutes of meeting and resolutions of shareholders/board of directors in both hard and soft copies.
  • Responsible to for the proper record of all other legal related documents in both hard and soft copies.
  • Oversee the operations of the Group Legal department
  • Develop annual operating budget and manpower recruitment plan.
  • Initiate, prepare and review legal workflow, policies and SOPs.
  • Provide regular trainings, support, coaching, and motivate team members.
  • Ensure the proper performance of the general administrative works in the department
  • Perform other tasks assigned by Line Manager or Senior Management.
Requirements - Skills, Qualifications, Experience
  • Education: Master of Laws Degree
  • Experience: at least 5 years
  • Knowledge: Strong knowledge in commercial and business laws, civil code, civil procedure, legal statutes and legislations on construction, development, and land laws.

Senior Legal Officer

Position Summary

Senior legal officer has the main role in the preparation, negotiation and review of documents, letters and contracts required by the company, monitor compliance with laws and regulations related to all business activities in order to mitigate risks, as well as liaise with the competent authorities, lawyers, registration service providers to apply for the relevant license.

Expectations - Duties, Responsibilities
  • A strong knowledge in legal translation as well as to be able to review the draft or draft contracts, legal documents, and company’s policy
  • Be able to translate well of legal documents from Khmer to English and Vice Versa as the key work performance as required by top management.
  • Review the draft or draft the contracts, legal agreements, template documents, company’s policies necessary for the company’s business and update those documents to make it compliant with the updated laws or actual situations.
  • Assist in negotiating the terms and conditions in the contracts with other parties and revise based on the mutual agreement of the parties.
  • Assist in analyzing the legal issues occurred in the contracts and other legal documents and propose revision or furnish advice to get a correct modification or adjustment.
  • Review the arrangement of contracts/documents for the execution by the company's director and relevant persons.
  • Ensure the good keeping of all contracts and legal documents and be the point of contact for contractual interpretation.
  • Monitor legal compliance of company’s business objectives and activities
  • Participate in requesting permits and other licenses directly or cooperate with lawyers or other service providers.

Land Administration (Land Titile Controler)

Position Summary

Job Summary

The land administration officer has the main role in managing the land data report, monitoring the process of transfer of ownership or land tenure until the end, monitoring the land purchase and sale process and preparing all relevant documents to keep and review documents, letters and contracts assigned by management.

Expectations - Duties, Responsibilities
  • Record daily entry-exit documents
